Eligibility
Sursus is intended only for individuals who are at least 18 years old and old enough to enter into a binding contract in their jurisdiction. You may not use Sursus if you are under 18, if you are barred from using the Service under applicable law, or if your use would violate these Terms. Sursus is offered to individual consumers for personal research use only unless Framework Holdings, LLC separately agrees in writing.
Research Software Only
Sursus is user-directed investment research and screening software for self-directed investors. Sursus is an advanced stock screener with AI-assisted qualitative and valuation analysis. It helps users apply selected quality gates, valuation assumptions, and research filters to public-company information. Sursus does not provide personalized investment advice, investment recommendations, fiduciary services, brokerage services, portfolio management, automated trading, tax advice, legal advice, or accounting advice.
User-Directed Investment Lens
Sursus may allow you to configure research filters, quality gates, valuation assumptions, evidence preferences, and other screening criteria. These settings are used to organize and evaluate company research. They are not a personal financial plan, investment policy statement, suitability profile, risk-capacity assessment, or advisory mandate.
Sursus does not ask you to provide, and you should not provide, personal financial information for investment-advice purposes, including your net worth, income, tax status, liquidity needs, portfolio allocation, position size, cost basis, retirement goals, or complete investment objectives. Sursus does not use that information to determine whether any security is suitable for you.
Quality Gates
Quality gates are user-selected issuer, business, industry, financial, valuation, governance, or evidence criteria used to screen and organize company research. Quality gates are not a financial plan, suitability profile, risk-capacity assessment, portfolio recommendation, or investment advisory mandate. Sursus applies quality gates to available company data and produces research classifications showing how a company appears under those selected criteria.
No Recommendations
Sursus outputs, including research classifications, fair value ranges, valuation reference prices, review prompts, memos, PDFs, alerts, and AI chat responses, are not recommendations or instructions to buy, sell, hold, avoid, or trade any security. You are solely responsible for your own research, judgment, and decisions.
No Personal Suitability
Sursus outputs show how a company appears under selected research gates and valuation assumptions. They are not based on, and should not be treated as advice regarding, your complete financial situation, portfolio, tax status, liquidity needs, net worth, income, investment objectives, or risk capacity. Do not submit information that you expect Sursus to use as a personal financial plan, suitability profile, risk-capacity assessment, or advisory mandate.
Investment Risk
Investing involves risk, including loss of principal. Market prices, estimates, filings, financial statements, news, transcripts, analyst views, and economic conditions may change rapidly. Past performance is not a guarantee of future results. Valuation models depend on assumptions that may be wrong. You should independently verify all information and consider consulting a qualified professional before making financial, tax, legal, or accounting decisions.
User Content
As between you and Framework, you retain any rights you have in content you submit to Sursus, including your prompts, investment lens inputs, notes, questions, custom assumptions, memo edits, and other user-provided content.
License to Operate Sursus
You grant Framework Holdings, LLC a worldwide, non-exclusive, royalty-free, sublicensable, transferable license to host, store, process, reproduce, display, transmit, modify, create operational derivatives from, analyze, and use your User Content as reasonably necessary to provide, operate, secure, support, debug, improve, and enforce Sursus; generate and display outputs; create workspaces, analyses, memos, PDFs, alerts, and share links; process subscriptions and usage limits; respond to support requests; comply with law; and apply the retention, deletion, safety, and takedown policies described in these Terms and the Privacy Policy.
Generated Outputs
Subject to these Terms, third-party rights, market-data restrictions, and applicable law, Framework assigns to you any rights it has in AI-generated outputs created specifically for your account, such as generated research text, memo text, and summaries. This assignment does not include Framework technology, software, prompts, templates, scoring methods, workflows, interfaces, models, product design, research taxonomies, or proprietary systems.
AI-generated outputs may not be unique. Other users may receive the same or similar classifications, summaries, explanations, or generated text. Your ownership or assigned rights do not limit Framework's right to delete, remove, restrict, anonymize, or retain content and outputs under these Terms, the Privacy Policy, legal requirements, security needs, public-sharing controls, or the data-retention policy.
Model Training
Sursus will not intentionally use your non-public User Content or non-public account-specific outputs to train general-purpose AI models except with your affirmative opt-in or after the content has been deidentified or aggregated so that it is no longer reasonably associated with you. Third-party AI providers may process data as service providers or subprocessors as described in the Privacy Policy and subprocessor list.
Public Sharing
Sursus is private by default unless you create a public share link. A public share link allows anyone with the link to view the shared memo or content. Public share links are unlisted by default, but they are not private.
Do not include confidential, private, sensitive, non-public, insider, regulated, or third-party restricted information in public memos, public notes, share links, or PDFs.
Public memos will not display your name, profile image, or other creator identity by default. Sursus may display creator identity only if you expressly choose to include it for that share page or if the product clearly previews that disclosure before publication. Public memos will not include follow-up chat messages by default. Follow-up content may be included only if you expressly select it for publication.
You may revoke a public share link. Revocation disables future access through the Sursus-hosted link, but it does not remove copies, screenshots, downloads, cached versions, or re-shares already made by others. If you delete your account, Sursus will revoke public share links associated with your account by default and delete or anonymize the associated public memo content according to the Privacy Policy, unless you expressly choose a continued-publication option that Sursus makes available.
Framework may remove, restrict, disable, or preserve public content for legal, safety, security, abuse-prevention, intellectual-property, privacy, regulatory, operational, or policy reasons.
Subscriptions, Cancellation, And Refunds
Sursus may offer free and paid subscription plans. Plan features, prices, usage limits, and billing intervals are shown at checkout or in the Service. Payments are processed by Stripe or another payment processor. Sursus does not intentionally store raw payment-card numbers.
Paid subscriptions renew automatically on the billing interval you select until canceled. By starting a paid subscription, you authorize Framework Holdings, LLC d/b/a Sursus and its payment processor to charge your selected payment method for recurring subscription fees, applicable taxes, and any other amounts disclosed at checkout.
You may cancel through your account billing settings, Stripe Billing Portal, or another cancellation method Sursus makes available. Cancellation stops future renewals. Unless otherwise required by law or stated at checkout, you will retain paid access until the end of the current billing period.
Except where required by law or expressly approved by Framework, subscription fees are non-refundable and non-creditable, including for partial billing periods, unused analyses, unused monitoring, unused follow-up messages, unused workspaces, or account inactivity.
If you upgrade, downgrade, or change billing intervals, the checkout or billing flow will describe when the change takes effect and whether any prorated charge, credit, or changed usage limit applies. Prices may exclude taxes unless stated otherwise. You are responsible for applicable sales tax, VAT, GST, or similar taxes. Sursus or its payment processor may calculate, collect, and remit taxes where required.
If payment fails, Sursus may retry the payment, ask you to update your payment method, suspend paid features, downgrade your account, or terminate your subscription. Nothing in these Terms limits mandatory cancellation, refund, withdrawal, statutory warranty, or consumer-protection rights that cannot be waived under applicable law.

Sursus does not provide personalized investment advice, investment recommendations, fiduciary services, brokerage services, portfolio management, tax advice, legal advice, or accounting advice. Framework does not warrant that Sursus outputs, AI responses, market data, financial data, estimates, evidence, assumptions, alerts, public memos, or third-party data will be accurate, complete, current, available, or error-free. Framework does not warrant that any security is fairly valued, undervalued, overvalued, suitable, or unsuitable; that any valuation assumption will occur; or that use of Sursus will produce gains, avoid losses, improve returns, or reduce investment risk.
Limitation Of Liability
To the maximum extent permitted by law, Framework Holdings, LLC and its owners, officers, employees, contractors, affiliates, licensors, and service providers will not be liable for investment losses, trading losses, lost profits, lost data, business interruption, reputational harm, indirect damages, incidental damages, consequential damages, special damages, exemplary damages, punitive damages, or damages arising from AI errors, market-data errors, user decisions, public sharing, third-party services, or reliance on Sursus outputs.
To the maximum extent permitted by law, Framework's total liability for all claims arising from or relating to Sursus will not exceed the greater of: (a) the amount you paid to Framework for Sursus during the 12 months before the event giving rise to the claim; or (b) USD $100. Nothing in these Terms limits liability that cannot be limited under applicable law.
Governing Law And Arbitration
These Terms are governed by the laws of the State of Utah, without regard to conflict-of-law rules, except to the extent mandatory consumer-protection laws in your jurisdiction require otherwise. Before filing a claim, you agree to contact legal@sursus.io and attempt to resolve the dispute informally.
Subject to applicable law, disputes arising from or relating to these Terms or Sursus will be resolved by binding individual arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules. Arbitration will be conducted remotely unless the arbitrator requires otherwise or the parties agree otherwise.
To the extent permitted by law, you and Framework agree to bring claims only in an individual capacity and not as a plaintiff, class member, or representative in any class, collective, consolidated, private attorney general, or representative proceeding. Either party may bring an individual claim in small-claims court where permitted. Either party may seek injunctive or equitable relief in court for unauthorized access, intellectual-property misuse, security abuse, or confidentiality violations.
You may opt out of arbitration by emailing legal@sursus.io within 30 days after first accepting these Terms. Your notice must include your name, account email, and a clear statement that you opt out of arbitration. This section does not limit non-waivable rights under applicable consumer-protection, data-protection, or other mandatory laws, including rights of EU, EEA, UK, or other consumers to bring claims where local law requires.

Framework Holdings, LLC d/b/a Sursus respects intellectual property rights and expects users to do the same. If you believe content available through Sursus infringes your copyright, you may send a notice to our designated copyright agent.

We may remove or disable access to allegedly infringing material and may notify the user who posted it. Sursus may terminate or restrict accounts of users who are repeat infringers or who repeatedly post content that is subject to valid copyright complaints.
